Terms and Conditions – FRAXN Partner Program

These Terms and Conditions (the “Agreement”) govern your participation in the FRAXN Partner Program (the “Program”) operated by FRAXN, LLC (“FRAXN” or “we” or “us”), a Delaware limited liability company. By participating in the Program, you agree to be bound by the terms and conditions outlined below. If you do not agree with these terms, please do not participate in the Program.

1. Eligibility
   1. To be eligible for participation in the Program, individuals must agree to the FRAXN Partner Program Terms and Conditions outlined in this Agreement.
   2. The Program is open to individuals who are legal residents of the United States and are at least 18 years old.
   3. Employees, contractors, and affiliates of FRAXN are not eligible to participate in the Program.
      
      
2. Program Overview
   1. The Program allows participants (“Partners”) to refer potential clients (“Referrals”) to FRAXN and earn rewards in return.
   2. Partners must use the referral link provided by FRAXN to refer potential clients.
   3. Referrals must be new clients to FRAXN, and not existing or previous clients.
   4. Partners will be eligible for rewards based on the successful completion of eligible actions by the referred clients.
      
      
3. Referral Rewards
   1. Partners will be eligible to receive a $250 Amazon gift card after the referred client (“Referral”) signs on as a FRAXN client and pays their onboarding fee.
   2. Partners will be eligible to receive an additional $250 Amazon gift card after the Referral completes six months of service with FRAXN.
   3. FRAXN reserves the right to modify or terminate the referral rewards at any time, without prior notice.
   4. Referral rewards are non-transferable, non-exchangeable, and have no cash value.
      
      
4. Referral Requirements
   1. Partners must provide accurate and complete information when referring potential clients.
   2. Partners are responsible for ensuring that the Referral schedules and completes a demo with FRAXN.
   3. Referrals must meet any additional eligibility criteria specified by FRAXN.
   4. The Referral must sign up for FRAXN’s services within 12 months from the date of completing the demo. After this period, the Referral will no longer be eligible, and the Partner will not receive any referral rewards.
      
      
5. Referral Tracking and Validation
   1. FRAXN will track referrals through the referral link provided to Partners.
   2. FRAXN will validate referrals based on its internal systems and criteria.
   3. FRAXN reserves the right to reject referrals if they do not meet the eligibility criteria or are suspected of fraudulent activity.
   4. In cases where a Referral is referred by multiple Partners, FRAXN may, at its discretion, split the referral reward among the referring parties. The division of the reward will be determined by FRAXN based on factors such as the level of involvement, contribution, and timing of the referral.
      
      
6. Limitation of Liability
   1. FRAXN shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program.
   2. FRAXN’s total liability for any claims related to the Program shall not exceed the total referral rewards earned by the Partner.
      
      
7. Termination
   1. FRAXN may terminate or modify the Program at any time without prior notice.
   2. Partners who violate these terms or engage in fraudulent activity may have their participation in the Program terminated, and any rewards earned may be forfeited.
      
      
8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, United States.

1. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Program and supersedes all prior or contemporaneous communications, whether oral or written.

Disclaimer for the Partner Program

Please note that the term “Partner” used in relation to the FRAXN Partner Program is solely a marketing term and does not establish a legal partnership, including but not limited to equity partnership, joint venture, general partnership, limited partnership, or any other legal association.

By participating in the FRAXN Partner Program, you acknowledge and understand that being referred to as a “Partner” does not grant you any ownership rights, equity, liability, assets, or entitlement to distributions, profits, or losses of FRAXN, its business, or its operations.

The designation of “Partner” is used for marketing and collaborative purposes to describe the relationship between FRAXN and individuals participating in the Partner Program. It does not indicate any legal partnership or similar relationship.

Participants in the Partner Program shall not represent themselves as legal partners, agents, or representatives of FRAXN. They shall not enter into any agreements or make commitments on behalf of FRAXN without explicit written authorization from FRAXN.

It is essential to clarify that the benefits and rewards provided through the Partner Program are based on specific performance metrics and may be subject to change or termination at FRAXN’s discretion.

By participating in the FRAXN Partner Program, you acknowledge that you have read, understood, and agreed to this disclaimer, and that it constitutes an integral part of the terms and conditions governing the Partner Program.
